Basic structure
The company does not have an organizational structure, its operation is carried out by its service providers.
Process for the appointment of Directors and their Boards of Directors
The appointment of Directors and officers in PMI subsidiaries is made in accordance with the provisions of paragraph III.3 of the Policies and Guidelines for Subsidiary Companies of Petróleos Mexicanos and its Subsidiary Productive Companies, as indicated below:
III.3.- Of the Directors and officers.
III.3.1.- The appointment of the Directors, whether owners or alternates, in the Subsidiary Company of direct participation will be proposed by the Representative to the Assembly, after approval of the General Director, and carried out in accordance with the terms and conditions established for such purposes in its statutes and the applicable regulations. The General Director shall report every six months to the Board of Directors on the exercise of this power of authorization.
The appointments of the Subsidiary Company of direct participation officers will be authorized by its Board of Directors. The General Director shall report semi-annually to the Board of Directors on the appointment and removal of such managerial posts.
III.3.2.- The appointment of the Directors, whether owners or alternates, in the Subsidiary Company of indirect participation will be proposed by the Representative to the Assembly, must inform the Board of Directors every six months, and be carried out in accordance with the terms and conditions established for such purposes in its statutes and the applicable regulations.
The appointments of the Subsidiary Company officers with indirect participation will be authorized by its Board of Directors and must be reported, by the Representative, to the Board of Directors.
III.3.3.- If any Director is an employee of Pemex or a Subsidiary Productive Company, he/she must have at least a hierarchical level of manager or its equivalent.
III.3.4.- The position of Director is personal and may only be delegated to another Director of the Subsidiary Company for a particular session, when the applicable legislation allows it.
Composition of the Board of Directors
PMI NASA has three Directors that come from Petróleos Mexicanos.
